SUBWAY® RESTAURANTS SUBMAN SPOTTER
OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS GAME. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Subject to all federal, state, and local laws, regulations, and ordinances. Void outside the State of Colorado and where prohibited by law. The SUBWAY® Restaurants SUBMAN SPOTTER (the "Game") begins at 12:01:00 AM Mountain Time (GMT) on June 1, 2009 and ends at 11:59:59 PM GMT on September 30, 2009. See paragraph 3 for details on how to enter without a purchase.

  1. ELIGIBILITY: The Game is open to everyone who is 18 years of age or older who attends a summer concert at Red Rocks Amphitheatre for one of the twelve summer concerts on the following dates and possesses a valid event ticket: June 6, 2009, July 14, 2009, July 29, 2009, July 31, 2009, August 1, 2009, August 9, 2009, August 11, 2009, August 26, 2009, August 27, 2009, August 30, 2009, September 5, 2009 and September 9, 2009 (the "Eligible Concerts"). Employees, officers or directors of the SUBWAY® Franchisee Advertising Fund Trust Ltd. ("SFAFT"), Doctor's Associates Inc. or any of their affiliates, Subway restaurants, subsidiaries, franchisees, trustees, representatives, consultants, contractors, legal counsel, advertising, public relations, fulfillment, and promotional agencies (together, the "Game Entities") and members of their immediate families (spouses, parents, children, siblings and their spouses, regardless of where they live) and those living in the same household are not eligible to enter or win. Sponsor reserves the right to verify the eligibility of winners.

  2. HERE'S HOW TO PARTICIPATE: Attend one of the Eligible Concerts this summer at Red Rocks Amphitheatre. Visit a SUBWAY® restaurant and purchase any delicious SUBWAY sandwich or meal prior to Eligible Concert, then bring the SUBWAY sandwich or meal with you to Red Rocks Amphitheatre to enjoy before the concert. The SUBMAN SPOTTER will be at each Eligible Concert searching the Upper North parking lot for tailgaters enjoying a SUBWAY sandwich or meal. Each person who is spotted with a SUBWAY sandwich or meal will be entered into a drawing to win two reserved seat concert tickets for that night's show or two general admission seat concert tickets and a VIP parking pass for a future summer concert. Participants must possess a valid event ticket. To be spotted with a SUBWAY sandwich or meal a person must possess a Subway sandwich, napkin, bag or Subway cup. Anyone who is spotted will receive a 'You've been spotted" card that will enter them in a random drawing as described below.

  3. No Purchase Necessary. To be entered into the drawing without making a purchase, visit the Subway booth on the Upper Level Plaza at the Top Circle Entrance prior to the start of each Eligible Concert and ask to be "spotted", or spot the SUBMAN in the Upper North parking lot and ask the Subway representative to be 'spotted", to receive a 'You've been spotted" card and be entered in the drawing for that night.

  4. RANDOM DRAWING: The winners will be selected by random drawing from all eligible entries received. Every "You've been spotted" card will include a unique code that corresponds to a duplicate code on a card that will be entered into the random drawing. Two drawings will be held at each Eligible Concert. Both drawings will be held immediately prior to the opening of the main gates. One person will be selected to win two reserved seat concert tickets for that night's show, and one person will be selected to win two general admission seat concert tickets and a parking VIP pass for a future concert. The drawings will be conducted by Subway employees who will be onsite at Red Rocks Amphitheatre to support the promotion. Participants selected as potential winners must comply with all terms and conditions set forth in these Official Rules, and winning is contingent upon fulfilling all such requirements.   5. HOW TO CLAIM THE CONCERTS TICKETS: Winning ticket numbers will be posted on the Subway booth on the Upper Level Plaza. Winners will need to go to the Subway booth to collect their prize before the completion of the intermission. Winners will be asked to present their "You've been spotted" card to confirm that they possess the card with the winning code. The Winner of the two reserved seat concert tickets will immediately be provided their tickets for the concert that night. The Winner of the two general admission seat concert tickets and VIP parking pass for a future summer concert will need to provide their contact information (name, phone number and email address), and a representative from Proxy Partners will contact them within 48 hours to coordinate delivery of their prize. The winners of the two general admission tickets will be able to select tickets to the concert of their choice, based on availability and the remaining concerts for the summer season. Potential winners who do not claim their prize before the start of the headlining act for that evening's concert, can contact Proxy Partners at (303) 867-8370 to confirm that they are a winner and to coordinate delivery of the prize.

    Winning a prize is contingent on fulfilling all the requirements set forth herein. By entering, each participant agrees to abide by and be bound by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all matters relating to the Game. Any attempt by an entrant to deliberately undermine the legitimate operations of this Game is a violation of criminal and/or civil laws. Winners may be required to show valid proof of identity and age.

  6. RULES. For a copy of the Official Rules, send a self-addressed, stamped envelope to: "SUBWAY® Restaurants SUBMAN SPOTTER – Rules Request, Kolar Advertising   Marketing, 114 W. 7th St. #500, Austin, TX 78701", to be received by 9/30/09 or go online to www.RedRocksOnline.com/Subway.

  7. AVAILABLE PRIZES/OFFERS, APPROXIMATE RETAIL VALUES (ARV) AND APPROXIMATE ODDS OF WINNING: PRIZES: (12) winners will receive two reserved seat concert tickets for that night's show at Red Rock Amphitheatre. (ARV$175) (12) winners will receive two general admission seat concert tickets for a future summer concert at Red Rock Amphitheatre and a VIP parking pass. (ARV$130). Winners are responsible for all applicable taxes. Odds of winning depend on the total number of eligible entries received.

    No transfer or substitution of the prize/offer is permitted except at Sponsor's sole discretion in the event of unavailability and in such event, a prize/offer of equal or greater value will be awarded. Prize acceptance constitutes permission to the Sponsor and its agencies and participating retailers to use the recipient's name and/or likeness for advertising or trade without further compensation, unless prohibited by law. Sponsor is not responsible for any typographical or other error in the printing, the offering or the announcement of prizes/offers.

  8. GENERAL: This Game is governed by the laws of the United States. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any entrant regarding this Game, except as expressly set forth in these Official Rules. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, and/or the legitimate operation of the Game; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. If, for any reason, the Game is not capable of running as planned, including tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor, which corrupt or affect the operation, administration, security, fairness, integrity, or proper conduct of this Game, Sponsor may, in its sole discretion, void any suspect entries and (a) cancel or terminate the Game (or any portion thereof); (b) modify the Game or suspend the Game to address the impairment and then resume the Game in a manner that best conforms to the spirit of these Official Rules; or (c) award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment.

  9. RELEASE AND LIMITATIONS OF LIABILITY: BY PARTICIPATING IN THIS GAME, ENTRANTS AGREE THAT SPONSOR, SFAFT AND DOCTOR'S ASSOCIATES INC., THEIR AFFILIATES, SUBSIDIARIES, FRANCHISEES, TRUSTEES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING AGENCIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, ENTRY, OR PARTICIPATION IN THIS GAME OR IN ANY GAME RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. EXCEPT WHERE PROHIBITED BY LAW, WINNERS GRANT TO SPONSOR, AND DOCTOR'S ASSOCIATES INC. (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR), THEIR SUBSIDIARIES, AFFILIATES, FRANCHISEES, DISTRIBUTORS, ADVERTISING AND PROMOTION AGENCIES, SUPPLIERS, AND THOSE ACTING PURSUANT TO ITS AUTHORITY, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, EACH WINNER'S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, AND BIOGRAPHICAL INFORMATION FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

    WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS GAME, INCLUDING ALL PRIZES, ARE PROVIDED 'AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY.
